ICICI Bank has increased its majority holding in ICICI Prudential Life as Prudential plc prepares to reduce its stake.
ICICI Bank has strengthened its majority ownership of ICICI Prudential Life Insurance, lifting its stake to about 52.8%. The bank purchased an additional 2%, comprising 29,015,693 shares worth around ₹1,470 crore, in market transactions between July 22 and September 2, 2026.
The move followed RBI approval granted in June for ICICI Bank to acquire up to another 2% in the insurer and preserve majority ownership.
Prudential’s Planned Exit Reshapes the Joint Venture
The higher ICICI Bank stake comes as long-time joint venture partner Prudential plc prepares to scale back its ownership. In May, Prudential announced an agreement to take a 75% controlling stake in Bharti Life Insurance for an initial ₹3,500 crore.
Prudential said the regulatory process for that acquisition is expected to require its holding in ICICI Prudential Life to drop below 10%. Once completed, the restructuring would leave Prudential as a minority shareholder in ICICI Prudential Life while giving it control of Bharti Life.
The development marks a major ownership transition for ICICI Prudential Life, which started operations in FY2001 and became the first Indian insurance company to list on the NSE and BSE.
Existing Policy Terms Remain Unchanged After the Share Purchase
The acquisition changes the shareholder mix of ICICI Prudential Life. However, it does not itself amend the premium, sum assured, maturity benefits or other contractual terms of an existing insurance policy. Policyholders continue to hold their contracts with ICICI Prudential Life Insurance Company. However, a change in promoter ownership can affect areas such as board representation, business strategy, branding or distribution over time.
